PAKISTAN – Telecommunication
Pakistan Telecommunication Company Limited (PTCL) has informed the Pakistan Stock Exchange (PSX) that the Pakistan Telecommunication Authority (PTA) has granted a conditional decision regarding the Change of Control (CoC) for PTCL’s planned acquisition of Telenor Pakistan (Private) Limited and Orion Towers (Private) Limited.
PTCL had earlier entered into a Share Purchase Agreement (SPA) on December 14, 2023 with Telenor Pakistan BV (TPBV) for the acquisition of the entire issued share capital of the two entities, following the approval of its Board of Directors. The completion of the transaction remains subject to multiple corporate and regulatory approvals, completion of formalities, and execution of the required agreements and closing obligations.
According to the notification, PTA issued its conditional CoC decision on November 30, 2025. After PTCL provided unconditional acceptance of the stipulated conditions, PTA issued a No Objection Certificate (NOC) on December 6, 2025, allowing PTCL to obtain substantial ownership interest in Telenor Pakistan and Orion Towers.
PTCL clarified that while the NOC marks a key regulatory milestone, the finalization of the transaction is still pending and will be completed once all remaining corporate approvals, formalities, and required documents are finalized. – ER News Desk
